Welcome to MarketShot AI("we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website, software, and AI image generation services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

These Terms incorporate our Acceptable Use Policy and Privacy Policy, which are hereby made part of these Terms.

MarketShot AI provides an AI-powered product photo generation platform that allows users to upload product images and generate marketplace-ready image packs. The Service includes:

• AI-powered background removal and product isolation
• AI-generated lifestyle scenes and backgrounds for product images
• Image resizing and formatting for ecommerce marketplaces
• Batch export of image packs in ZIP format
• Credit-based or subscription access to generation features

AI image generation is powered by third-party providers including Photoroom. Generated images are produced by machine learning models and may not be perfectly accurate. You are responsible for reviewing and verifying all generated content before use, especially for commercial purposes.

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

The Service is offered on a credit-based and subscription basis. Payment processing is provided by Creem. By purchasing credits or a subscription, you agree to:

• Pay all fees and charges associated with your account
• Provide current, complete, and accurate billing information
• Authorize us to charge your chosen payment method
• Be responsible for any applicable taxes
• Understand that one credit is consumed per generated image; credits reserved for provider requests that fail are automatically returned

Subscription terms, including pricing and billing cycles, are described on our pricing page and in your subscription details.

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.

Refunds are handled on a case-by-case basis. If you are dissatisfied with the Service, please contact us at 751434992@qq.com to discuss your options.

You retain ownership of the images you upload to the Service ("User Content"). You grant us a limited license to use, process, and store your uploaded images solely for the purpose of providing the Service to you.

Subject to these Terms and your compliance with them, we grant you a worldwide, non-exclusive, non-transferable license to use the images generated by the Service for your personal or commercial purposes, including use in ecommerce listings, marketing materials, and product pages.

You are responsible for ensuring that your use of generated images complies with all applicable laws, marketplace policies, and third-party rights.

You agree to use the Service only for lawful purposes and in accordance with our Acceptable Use Policy. Prohibited activities include, but are not limited to:

• Generating NSFW, sexually explicit, or pornographic content
• Generating content that is illegal, harmful, threatening, abusive, or harassing
• Generating content that infringes on the intellectual property rights of others
• Generating content depicting minors in any inappropriate context
• Attempting to generate deepfakes or non-consensual explicit content
• Using the Service to create content that promotes violence, hate speech, or discrimination
• Reverse engineering, decompiling, or attempting to access the source code of the Service
• Interfering with or disrupting the Service or its servers
• Using the Service for spam, phishing, or fraudulent activities
• Sharing your account credentials with unauthorized third parties

We reserve the right to moderate content generated through our platform and may suspend or terminate accounts that violate these policies. We use content moderation systems to screen generation prompts for policy violations.

We use Creem's Content Moderation API to screen every generation prompt before credits are spent or an image provider is called. Only prompts that receive an allow decision can proceed. Deny and flag decisions are blocked, and generation is stopped if moderation is unavailable or cannot be completed.

If a prompt is rejected by our moderation system, the generation request is blocked. We are not liable for any false positives or negatives in our moderation system.

You may not attempt to bypass, disable, or circumvent our content moderation systems. Attempting to do so may result in account suspension or termination.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected. AI-generated content may contain errors, inaccuracies, or inconsistencies. You use the Service and generated content at your own risk.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless MarketShot AI and its officers, directors, employees, and agents from and against any and all claims, damages, costs, and expenses arising from:

• Your use of the Service in violation of these Terms
• Content you upload, generate, or distribute through the Service
• Your violation of any third-party rights, including intellectual property rights
• Any claims arising from your use of generated images in commercial contexts

We may terminate or suspend your account and access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service immediately ceases. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, and limitation of liability.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MarketShot AI is established, without regard to its conflict of law provisions.

We reserve the right to modify or replace these Terms at any time. Material changes will be notified by posting a notice on our website or via email. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.
